By accessing and using TuaSafe ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.
2. Description of Service
TuaSafe is a secure payment platform that facilitates transactions between customers and vendors. We provide escrow services, payment processing, and dispute resolution to ensure safe and reliable online transactions. Our platform holds payments until both parties confirm satisfaction with the transaction.
3. User Accounts
3.1 Registration
To use certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
3.2 Vendor Verification
Vendors must complete our KYC (Know Your Customer) verification process, which may include providing business documentation, identification, and other required information. We reserve the right to reject or terminate vendor accounts that fail to meet our verification standards.
4. Payment Terms
4.1 Payment Processing
All payments are processed through our secure payment gateway. By using our services, you authorize us to hold funds in escrow until transaction conditions are met.
4.2 Fees
TuaSafe charges service fees as follows:
- Transaction fees: A percentage of each transaction value
- Payment processing fees: As applicable per payment method
- Additional fees may apply for premium features or services
All fees will be clearly displayed before you complete a transaction.
4.3 Refunds
Refunds are subject to our dispute resolution process. Customers may request refunds if goods or services are not delivered as agreed. Service fees are generally non-refundable unless otherwise stated.
5. User Responsibilities
5.1 Prohibited Activities
You agree not to:
- Use the platform for illegal activities or fraudulent transactions
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit viruses, malware, or harmful code
- Attempt to gain unauthorized access to our systems
- Manipulate or abuse our dispute resolution process
- Create multiple accounts to circumvent restrictions
- Engage in money laundering or terrorist financing
5.2 Vendor Obligations
Vendors agree to:
- Provide accurate product or service descriptions
- Deliver goods or services as promised and within agreed timeframes
- Maintain appropriate licenses and permits for their business
- Respond promptly to customer inquiries and disputes
- Upload valid proof of delivery when required
5.3 Customer Obligations
Customers agree to:
- Provide accurate delivery information
- Confirm receipt of goods or services in good faith
- Communicate issues or concerns promptly
- Not abuse the dispute or refund process
6. Dispute Resolution
In case of disputes between customers and vendors:
- Either party may initiate a dispute through the platform
- Both parties will be given the opportunity to provide evidence and statements
- TuaSafe will review all submitted information and make a fair determination
- Decisions are typically made within 7-14 business days
- Our decision on disputes is final and binding
We reserve the right to withhold funds during dispute investigation.
7. Intellectual Property
All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of TuaSafe or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.
8. Limitation of Liability
To the maximum extent permitted by law:
- TuaSafe acts as an intermediary and is not a party to transactions between users
- We are not responsible for the quality, safety, or legality of items sold
- We are not liable for the accuracy of vendor listings or representations
- We shall not be liable for any indirect, incidental, or consequential damages
- Our total liability shall not exceed the fees paid by you in the past 12 months
9. Indemnification
You agree to indemnify, defend, and hold harmless TuaSafe, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of another party.
10. Account Suspension and Termination
We reserve the right to suspend or terminate your account:
- For violation of these Terms
- For fraudulent or illegal activity
- For failure to complete KYC verification
- At our discretion, with or without notice
Upon termination, your right to use the Platform will immediately cease. We may retain certain information as required by law or for legitimate business purposes.
11. Privacy
Your use of the Platform is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Ghana.
13. Changes to Terms
We may modify these Terms at any time. Material changes will be notified through the Platform or via email. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.
